A guide, not advice. This explains how things generally work. A licensed insolvency practitioner will tell you what applies to your company or to you.
What is a Personal Liability Notice?
A Personal Liability Notice (PLN) is HMRC's power to transfer a company's unpaid National Insurance to its directors personally - available where the failure to pay was attributable to the director's fraud or neglect.
Who gets targeted
The pattern cases: directors who paid themselves and chosen creditors for extended periods while NI and PAYE went unpaid, stripped value while arrears built, or ran the deductions as permanent working capital - "neglect" in the sense of choosing, not struggling.
Directors who fought honestly, engaged with HMRC, and took advice are not the audience - PLNs are the exception, deployed against conduct.
How the process runs
HMRC investigates (often after a liquidation), issues the notice specifying the amount and the grounds, and the recipient has appeal rights to the tax tribunal - deadlines matter, and notices unanswered become debts enforced.
If one arrives - or might
Respond within the deadlines with advice, not alone; the defence lives in the record - what was paid when, what was proposed to HMRC, what advice was taken - which is also the record that protects directors generally.
0333 023 5090 - whether you're holding a PLN or building the record that prevents one, that's a conversation for a licensed practitioner.
