A guide, not advice. This explains how things generally work. A licensed insolvency practitioner will tell you what applies to your company or to you.

What Is a Members' Voluntary Liquidation?

A Members' Voluntary Liquidation (MVL) is a formal process for closing a solvent limited company. Unlike a CVL, an MVL is used where the company can pay all of its debts in full, with interest, within 12 months - typically because the directors or shareholders wish to retire, restructure, or simply wind down a company that is no longer needed.

The main reason directors choose an MVL is tax efficiency. When a company is wound up via an MVL, distributions of surplus assets to shareholders are treated as capital rather than income. This can mean a significantly lower tax bill, particularly where Business Asset Disposal Relief (formerly Entrepreneurs' Relief) applies.

The Declaration of Solvency

To enter an MVL, the majority of directors must sign a statutory Declaration of Solvency confirming that, in their opinion, the company can pay its debts in full within 12 months. This is a serious legal statement - signing it without genuine grounds can lead to personal liability and criminal consequences. We will help you assess whether your company genuinely qualifies.

When an MVL Makes Sense

  • You are retiring and wish to extract retained profits efficiently
  • You are a contractor closing a personal service company
  • The company has more than £25,000 in reserves (below this, simpler strike-off may be more appropriate)
  • You want to distribute assets as capital to benefit from Business Asset Disposal Relief at a 10% rate

The MVL Process

  1. Solvency review - We confirm the company is genuinely solvent and that an MVL is the right route.
  2. Declaration of Solvency - Directors sign the statutory declaration.
  3. Liquidator appointed - A licensed insolvency practitioner is appointed by the shareholders.
  4. Asset realisation and distribution - The liquidator realises assets and distributes surplus funds to shareholders as capital.
  5. Dissolution - The company is formally dissolved.
