Tax implications of a Members' Voluntary Liquidation

An MVL's entire commercial case is tax treatment - so here is the full picture, on both the company's side and yours.

The shareholder side: capital, not income

Distributions in a winding up are capital receipts: taxed under CGT rather than as dividends - the difference that typically saves tens of thousands on meaningful balances - with Business Asset Disposal Relief reducing the rate further for qualifying shareholders, subject to its lifetime limit.

Assets can also be distributed in specie - the company car or property transferred rather than sold - with the market value forming part of your capital receipt.

The company side: final bills first

The liquidator settles everything before distributing: the final corporation tax return and charge, VAT on any asset disposals and the deregistration, and closing PAYE - with HMRC clearance the reason full closure takes months even when most funds are distributed early.

The rules that police the boundary

The TAAR can recharacterise distributions as income where you return to the same trade within two years with tax advantage as a main purpose; and the £25,000 rule means informal strike off distributions above that figure are income - the boundary that makes the MVL worthwhile in the first place.

Personal tax turns on personal facts - an MVL should always run alongside advice from your own tax adviser, and we'll work with them directly.
